Student Directors on the Board of DITSU CLG 2017/18

The DITSU Constitution (Article 6) set up a Company known as DIT Students’ Union Company Limited by Guarantee (CLG) to look after the funds, assets and liabilities of the Union on behalf of the students who are members of DITSU. 

The Board of Directors of DIT Students’ Union CLG comprises of the President and the 3 Vice Presidents of DITSU, two students nominated by DITSU Student Council, Independent Chairperson and up to 4 other persons known as external Directors.

The primary function of the Directors is to manage the company on behalf of its members – who are the students of DIT.

Directors must act responsibly and honestly in relation to the company and in line with the company’s constitution and the laws of the land.  Directors are obliged to carry out their function with due care and diligence.  The new Companies Act 2014 places more emphasis on the personal liability of all company directors.

Student Council elects two students to be directors on the Board of DITSU CLG for a period of 1 year. These students have the same responsibilities and duties are all other directors on the Board.  This is a great opportunity for students to gain first-hand knowledge of how a company functions and the importance of the role of Director in the decision making process of the Board of Directors.

Nominations for the two positions of Student Director are currently open and close on 19th April 2017 at 5p.m. with the election taking place at the Student Council Meeting on 26th April 2017.

Student Members of the Company – DITSU CLG 2017/18

The DITSU Constitution (Article 6) set up a Company known as DIT Students’ Union Company Limited by Guarantee (CLG) to look after the funds, assets and liabilities of the Union on behalf of the students who are members of DITSU. 

Each year the Company (DITSU CLG) must hold an Annual General Meeting (AGM) to present a report to the members outlining DITSU’s financial statements for the previous accounting year.  Each member shall have one vote at the AStudentGM.  If an Emergency General Meeting (EGM) is called, all members of the Company are invited to attend.

In order to make sure that the student voice is properly represented at the AGM, Student Council is entitled to elect 2 more students as members of the Company (not a Director) to attend the Annual General Meeting.  This is a great opportunity for any interested students to take part in representing the members of the company and to see how a company conducts it affairs.

Nominations for the two positions of Member of the Company are currently open and close on 19th April 2017 at 5p.m. with the election taking place at the Student Council Meeting on 26th April 2017.
